Terms of Service.

By installing or using the Reelflow app ("App"), you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms"). These Terms govern your access to and use of the App and any related services provided by Reelflow ("we," "us," or "our"). If you do not agree to these Terms, do not install or use the App.

These Terms are in addition to, and do not supersede, the Shopify Terms of Service, which also apply to your use of the App through the Shopify platform.

Reelflow provides a Shopify app that enables merchants to upload, publish, and embed shoppable video reels on their storefronts. Features include product tagging within videos, a floating video player, reel analytics, and widget customisation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

To use the App, you must:

• Have an active Shopify store.
• Be of legal age to form a binding contract in your jurisdiction.
• Not be barred from using the App under the laws of your country or any other applicable jurisdiction.

By using the App, you represent and warrant that you meet all of the above eligibility requirements.

You are solely responsible for all content uploaded, published, or distributed through the App, including but not limited to videos, images, product information, and text. You represent and warrant that:

• You own or have the necessary rights, licences, and permissions to use all content you upload to the App.
• Your use of the App and any content you publish does not infringe any third-party intellectual property, privacy, publicity, or other rights.
• Your content complies with all applicable laws and Shopify's policies.

Reelflow is not responsible for, and expressly disclaims liability for, any copyright, intellectual property, or other legal infringement committed by a merchant through use of the App.

The App, including its design, code, features, and all related content created by Reelflow, is and will remain the exclusive property of Reelflow and its licensors. Nothing in these Terms grants you any ownership interest in the App or its underlying technology.

You retain full ownership of any content you upload to the App. By uploading content, you grant Reelflow a limited, non-exclusive, royalty-free licence to host, process, and display that content solely as necessary to provide the Service to you.

All billing is handled exclusively through Shopify's billing system. By selecting a paid subscription plan, you agree to the associated fees and billing cycles as displayed in your Shopify admin panel at the time of subscription.

• Charges are recurring and will be billed every 30 days unless you cancel.
• All charges are in USD.
• All charges are non-refundable except where required by applicable law.
• You may cancel your subscription at any time from your Shopify admin. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with reasonable prior notice. Continued use of the App after a price change constitutes acceptance of the new pricing.

All paid plans include a 7-day free trial administered through the Shopify App Store. During the free trial:

• You will not be charged until the trial period ends.
• If you do not cancel before the trial ends, your selected plan will automatically begin and you will be billed accordingly.
• Each merchant is entitled to one free trial per plan. Reelflow reserves the right to revoke trial access if misuse is detected.

The App relies on or integrates with third-party services including Shopify, video hosting providers, and analytics tools. Your use of these third-party services is governed by their respective terms of service and privacy policies. Reelflow is not responsible for the availability, accuracy, or content of any third-party service.

The App may contain links to third-party websites. These links are provided for convenience only and do not constitute an endorsement of those websites or their content.

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any defects will be corrected or that the App will meet your specific requirements.

You agree to indemnify, defend, and hold harmless Reelflow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of or access to the App.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content you upload or publish through the App.

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms. You may terminate your use of the App at any time by uninstalling it from your Shopify admin.

Upon termination, your right to use the App will cease immediately. Your data will be retained for 30 days following uninstallation and then permanently deleted, in accordance with our Privacy Policy.

To the maximum extent permitted by applicable law, in no event shall Reelflow be liable for any indirect, incidental, special, consequential, or punitive damages — including without limitation loss of profits, data, goodwill, business interruption, or other intangible losses — arising from:

• Your use of, or inability to use, the App.
• Any unauthorised access to or alteration of your data.
• Any third-party content or conduct in connection with the App.

In no event shall Reelflow's total aggregate liability exceed the amount you paid to Reelflow in the 30 days preceding the event giving rise to the claim.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the App or on our website prior to the effective date. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
